Founder Terms of Use

Terms governing founder accounts, assessments, reports and platform access

1. About these Terms

These Founder Terms of Use (Terms) govern access to Venture EQ by an individual founder (you). They form an agreement between you and Venture EQ Pty Ltd (Venture EQ, we, us or our).

Our provisional business address is 10 Eagle Street, Brisbane QLD 4000, Australia. Our ABN/ACN will be inserted before publication. You may contact us at privacy@ventureeq.com.

By creating an account, you confirm that you have read and accepted these Terms and the Venture EQ Privacy Policy. If you do not agree, you must not create or use an account.

2. Eligibility and account creation

You must be at least 18 years old. Venture EQ has a strict no-minors policy. Because we collect month and year of birth only, a person whose eighteenth birthday falls during the current month cannot register until the first day of the following month.

  • You must provide your first and last name, month and year of birth, and a valid verified email address.
  • Company name and company stage are optional.
  • You may register directly or use Google or LinkedIn OAuth. OAuth registration may import your photograph, professional headline, current employer, job title, location and public profile URL where available.
  • You may review, edit or remove imported profile information within your account.
  • You may hold only one personal founder account. Duplicate, transferred and impersonating accounts are prohibited.
  • You must keep login credentials secure and notify Venture EQ promptly of suspected unauthorised access.

3. Free service

Founder registration, completion of the five Venture EQ assessments, and access to current results and reports are provided free of charge. Venture EQ may introduce additional optional products or services in the future, but no charge will apply unless it is clearly disclosed and separately accepted.

4. The assessments

At launch, Venture EQ provides Operating Style, Personality, Leadership Style, Commercial DNA and Resilience assessments. Each assessment may be completed independently.

  • You must complete assessments personally and answer honestly. Venture EQ does not independently verify your responses.
  • Incomplete answers are saved so you can return later. Incomplete assessments are private and are never visible to an investor.
  • Once submitted, answers and results are fixed. You cannot edit, appeal or request reinterpretation merely because you disagree with the outcome.
  • You may report an objective platform or scoring malfunction, such as missing answers, failure to process submitted responses or an incomplete report.
  • You may retake each assessment after three months. Each assessment has its own three-month waiting period.
  • Only your latest current report and scores are displayed. Your account may show a timeline of earlier module archetypes and completion dates, but not earlier full reports or numerical scores.

5. Assessment limitations

Assessments, scores, archetypes, reports and insights are subjective outputs derived from self-reported answers and Venture EQ’s methodology. They are provided for personal reflection and development only.

  • They are not medical, psychological or psychiatric assessments or diagnoses.
  • They are not employment, legal, financial, tax or investment advice.
  • They do not prove founder quality, investor suitability, compatibility, likely performance or investability.
  • Venture EQ does not guarantee accuracy, completeness, investor interest, funding, business success or any other result.
  • You remain responsible for your own decisions and should obtain qualified professional advice where appropriate.

6. AI-generated insights

Venture EQ’s scores, archetypes and dimension results are produced by a fixed rules engine. The written narrative around them is generated by a large language model running in Google Cloud Vertex AI within an Australian region, using your answers, scores and archetypes. Your data is not used to train Google’s models and does not leave the Australian region.

  • Your report, including its AI-generated narrative, is what an investor sees if you choose to share your profile. There is one report: you and any investor you share with read exactly the same document.
  • Your individual answers and your report conversations are never shared.
  • AI-generated narrative may be incomplete, inaccurate or unsuitable for your circumstances.
  • It is provided only for reflection and must not be treated as professional advice or relied on for important decisions.
  • Venture EQ may retain reports and use assessment data and feedback to improve its prompts and insight-generation process.

### Report conversations

You may ask questions about your own report and receive answers grounded only in your own results and report.

  • These conversations are saved to your account so you can return to them. You may delete a conversation at any time from the report page, and conversations are deleted when your account is anonymised.
  • Conversations are private to you. They are not shared with an investor or organisation, and sharing your profile does not share them.
  • Please do not enter information about other people, or confidential information belonging to third parties, that you would not want stored.
  • The same limits above apply: answers may be incomplete or inaccurate, are for reflection only, and are not professional advice.

7. Founder-initiated sharing

**Venture EQ will not make your profile, scores or reports available to any investor or organisation without your consent.** Access exists only where you have granted it, by one of two routes: sharing with a named investor yourself, described in this section, or accepting an investor's invitation before you begin an assessment, described in section 8. There is no directory, no browsing and no search — nobody can look you up on Venture EQ.

The two routes differ in one respect you should understand before choosing either. Access you grant yourself can be revoked at any time. Access you accept as part of an investor's invitation continues while that investor's account remains active, because the assessment was commissioned on that basis.

An assessment you initiate yourself is private by default. Nothing is shared automatically.

You may use Venture EQ’s sharing control to give a named investor access to your complete available profile, optional company information, current scores and current reports — including the AI-generated narrative within those reports, which is the same text you read. Your individual answers and your report conversations are not shared.

You may revoke founder-initiated investor access at any time. If you retake an assessment while access remains active, the latest report replaces the previous version visible to that investor.

8. Investor-invited assessments

An investor may invite you to Venture EQ. Before you begin, Venture EQ will identify the inviting investor and require you to accept the automatic-sharing arrangement. If you decline, you cannot proceed with that investor-linked assessment.

  • You choose which of the five assessments to complete.
  • Each assessment you complete under the invitation is automatically shared with the inviting investor.
  • The investor receives your complete available profile, optional company information, current scores and current reports — including the AI-generated narrative within those reports, which is the same text you read. Your individual answers and your report conversations are not shared.
  • The investor’s access cannot be revoked while both accounts remain active. It continues while the investor’s Venture EQ account remains active.
  • A later retake automatically replaces the previous report visible to the inviting investor.
  • Before completion, you may withdraw from or abandon the invitation and nothing will be shared.

9. Investor access and responsibility

Investor reports are view-only within Venture EQ and are not downloadable. Your account lists the investors that currently have access, but does not show whether or when they viewed a report.

Venture EQ does not independently verify or endorse investors or their identity, credentials, authority, intentions or conduct. You must conduct your own checks. Venture EQ is not a party, broker, adviser, fiduciary or guarantor in any investment discussion, offer, decision or agreement.

Venture EQ may suspend a suspected fraudulent or abusive investor but does not undertake to monitor or investigate investors.

10. Account deletion

You may request deletion through your account or by contacting privacy@ventureeq.com. Venture EQ will complete deletion within seven days. Your account and existing investor access remain active during that period, and you may cancel the request before deletion is completed.

  • When deletion is completed, your account access ends and all investor access to your reports is removed.
  • Venture EQ retains a restricted identifiable internal copy of completed profile and assessment history for recordkeeping, restoration, analytics, benchmarking, research, assessment improvement and the other purposes described in the Privacy Policy, for as long as Venture EQ operates, subject to applicable law.
  • Answers from unfinished assessments are permanently deleted when the account is deleted.
  • Account deletion does not retrieve information previously and lawfully supplied to a marketing partner.

11. Marketing and partner offers

At signup, Venture EQ presents a separate marketing choice. It is preselected but optional, and you may untick it without affecting registration.

If selected, you agree that Venture EQ may send product announcements, promotions and partner offers, and may provide your contact, professional profile and optional company information to selected founder-service partners for their own marketing. Partners may include investors, finance providers, accountants, lawyers, insurers, technology providers, accelerators, incubators and recruiters.

  • Assessment answers, scores, reports and AI insights are never provided to marketing partners.
  • Venture EQ may receive a fee, commission, referral payment or other benefit from a partner.
  • You may withdraw marketing consent at any time. Withdrawal stops future marketing and future partner disclosures but cannot retrieve information already supplied.
  • Venture EQ may continue sending essential account, assessment, investor-sharing, security and legal communications after marketing withdrawal.

12. Your content and Venture EQ’s licence

You retain any underlying rights you have in the personal and company information you submit. You grant Venture EQ a worldwide, royalty-free, transferable, sublicensable and continuing licence to host, store, copy, process, analyse and use that information to operate, secure and improve Venture EQ; provide reports and insights; maintain records; conduct research and benchmarking; and create properly de-identified commercial products.

The licence may continue after account deletion where permitted by law. It does not remove statutory rights applying to personal information.

You warrant that you have authority to provide all submitted information and will not submit unlawful, infringing, confidential or unauthorised third-party material.

13. Venture EQ intellectual property

Venture EQ owns or licenses all rights in the platform, questions, assessments, methodologies, scoring systems, archetypes, report formats, software, designs, content, trademarks and branding.

  • Reports are view-only. You must not copy, reproduce, publish, distribute, sell or circulate them outside Venture EQ.
  • Report sharing is permitted only through Venture EQ’s named-investor access controls.
  • You must not extract questions, reverse-engineer scoring or methodology, create a competing assessment, remove notices or misuse Venture EQ intellectual property.
  • Feedback, ideas and suggestions may be used by Venture EQ freely without payment, attribution or restriction.

14. Acceptable use

  • Do not share accounts or allow another person to complete an assessment for you.
  • Do not use bots, scraping, automation or extraction tools without written permission.
  • Do not probe security, introduce malware, disrupt the service or circumvent access controls.
  • Do not harass others, send unsolicited messages, commit fraud or engage in unlawful conduct.
  • Do not use another person’s information without authority.

15. Suspension and termination

Venture EQ may suspend or terminate an account for a Terms breach, misuse, fraud, security risk, unlawful conduct or conduct that could harm Venture EQ, another person or the platform.

Venture EQ will ordinarily give notice and a reasonable opportunity to remedy a breach, but may act immediately for serious misconduct, fraud, security threats or legal requirements. Termination immediately ends founder and investor access while Venture EQ retains permitted internal records.

Accounts will not be terminated merely for inactivity.

16. Availability and changes

Venture EQ is provided on an “as available” basis. To the extent permitted by law, Venture EQ does not guarantee uninterrupted availability, error-free operation, permanent storage or any service level.

Venture EQ may add, remove or change assessments, scoring methods, reports, insights and features. Methodology changes may mean future results are not directly comparable with earlier results.

17. Security

Venture EQ uses reasonable technical and organisational safeguards, but no online service is completely secure. Venture EQ cannot guarantee that cyberattacks, unauthorised access or data loss will never occur.

Venture EQ may force password resets, revoke sessions or lock accounts in response to suspected risk. It will notify affected individuals of qualifying data breaches where required by law.

18. Third-party services

Google, LinkedIn, Google Analytics, investors, partners and other third parties operate under their own terms and privacy practices. Venture EQ is not responsible for third-party products, websites or conduct to the extent permitted by law.

19. Disclaimers and liability

To the maximum extent permitted by law, all implied guarantees, warranties and conditions are excluded. Nothing in these Terms excludes a right or liability that cannot legally be excluded.

To the maximum extent permitted by law, Venture EQ is not liable for indirect, consequential, special or economic loss, including lost profit, opportunity, funding, investment, goodwill, data or business value.

Where liability cannot be excluded, Venture EQ’s aggregate liability arising from or relating to the founder service is limited to A$10, to the maximum extent permitted by law.

20. Indemnity

To the extent permitted by law, you indemnify Venture EQ and its personnel against loss, liability, damage and reasonable costs arising from your unlawful conduct, breach of these Terms, platform misuse, infringement of another person’s rights or unauthorised handling of another person’s information.

21. Events outside our control

Venture EQ is not responsible for delay or failure caused by events outside its reasonable control, including cloud or telecommunications outages, cyberattacks, natural disasters, government action, industrial disruption or failures of third-party infrastructure.

22. Complaints and disputes

You must first send a written complaint to privacy@ventureeq.com and allow 30 days for good-faith resolution. If unresolved, the parties must attempt mediation in Brisbane before commencing ordinary court proceedings. This does not prevent urgent injunctive relief or use of a statutory complaint process.

23. Changes to these Terms

Venture EQ may amend these Terms prospectively at any time. Updated Terms will show a revised effective date. Venture EQ will notify founders of material changes and obtain fresh consent where legally required. Continued use after the effective date constitutes acceptance where permitted by law. You may delete your account if you do not accept a change.

24. Assignment, electronic communications and language

Venture EQ may assign or transfer this agreement as part of a sale, merger, restructuring or other corporate transaction. You may not transfer your account or rights.

You consent to electronic delivery of these Terms, policies, legal notices and other required communications. Venture EQ is provided in English only, and you are responsible for obtaining translation assistance if required.

25. Governing law

These Terms are governed by Queensland law. The parties submit to the courts of Queensland and applicable Commonwealth courts, subject to any mandatory rights that apply in another jurisdiction.

26. General

If a provision is invalid or unenforceable, it will be read down or severed without affecting the remainder. A failure to enforce a right is not a waiver. These Terms, the Privacy Policy and any specific consent accepted through Venture EQ form the agreement concerning the founder service.
